Fan Work Guidelines

Official guidelines for fan works featuring Oz Chat characters, covering sales and monetization, use of generative AI, and prohibited acts.

Introduction

Trippy Inc. (hereinafter "the Company") respects the history and significance of fan works in internet culture, and welcomes fan creative activities involving the original characters (hereinafter "the Characters") appearing in "Oz Chat," the AI character app developed and operated by the Company (hereinafter "the Service"). These guidelines (hereinafter "these Guidelines") set out the basic rules to be observed between the Company and users so that fans can engage in creative activities with peace of mind.


Article 1 (Scope)

  1. These Guidelines apply to all fan creative activities (as defined in Article 2) using the Characters.
  2. For collaboration characters involving other companies' IP, or characters the Company provides under an external license, the guidelines or contractual terms of the respective IP holder take precedence.

Article 2 (Definitions)

Intellectual Property RightsCopyrights, trademark rights, design rights, and all other related rights, including the right to apply for them

Article 3 (Ownership of Intellectual Property Rights)

  1. All intellectual property rights relating to the Characters and the Original Works belong to the Company.
  2. These Guidelines do not transfer or grant a blanket license of trademark rights, copyrights, or any other rights from the Company to Users.
  3. Users shall not exercise their moral rights (such as the right of attribution and the right to integrity) solely where Fan Creations are used by the Company or in service or promotional media designated by the Company. However, if the Company makes unreasonable modifications, the User may raise an objection.

Article 4 (Basic Conditions)

  1. Users shall read these Guidelines carefully before beginning Fan Creative Activities, and shall carry out those activities only after agreeing to them.
  2. Corporations or for-profit businesses wishing to engage in Fan Creative Activities must contact the Company in advance (https://tr1ppy.com/contact).
  3. If a User uses a third party's copyrighted work in a Fan Creation, the User is responsible for obtaining the necessary permission from that third party. In the event of a dispute, the User shall resolve it at their own responsibility and expense, and shall hold the Company harmless.
  4. As long as Users comply with these Guidelines, they do not need individual permission from the Company to publish Fan Creations.

Article 5 (Prohibited Acts)

In Fan Creative Activities, Users must not engage in the following acts (hereinafter "Prohibited Acts"). If the Company determines that an act constitutes a Prohibited Act, it may take necessary measures such as suspending publication, suspending use, or claiming damages.

  1. Expressions or labeling that could mislead others into believing the work is an official work or official position of the Service
  2. Expressions that may significantly damage the image of the Service or the Company
  3. Publishing, selling, or distributing Fan Creations for business or commercial purposes beyond the scope of hobby or doujin activities (see Article 7)
  4. Reproducing, publicly transmitting, or distributing all or a substantial part of the Original Works as-is, in a manner that does not qualify as quotation, private use, etc. permitted under copyright law or other laws
  5. Using, as-is or in modified form, content that the Company has provided exclusively to paid members or as limited-access content
  6. Expressions that are obscene, excessively violent, discriminatory, or antisocial, or that induce or encourage other illegal acts
  7. Acts that unjustly infringe the rights, reputation, privacy, credibility, etc. of the Company or third parties
  8. Using the Characters to promote particular ideologies, beliefs, religions, or political views in a way that could create the false impression that it is official Company content
  9. Expressions that are contrary to public order and morals, or that cause significant discomfort or disgust to third parties
  10. Any other acts the Company deems inappropriate on reasonable grounds

Article 6 (Use of Fan Creations by the Company)

When a User publishes a Fan Creation on the internet, the User is deemed to have granted the Company permission for the following uses on a free-of-charge, non-exclusive, perpetual, and sublicensable basis:

  1. Using and featuring the Fan Creation on the Company's website, social media, livestreams, advertising, etc., without prior confirmation from the User
  2. Editing or summarizing the Fan Creation to the extent that its integrity is not compromised

Article 7 (Sales and Monetization of Fan Creations)

  1. Users may sell, distribute, or offer paid distribution of Fan Creations within the scope of hobby or doujin activities.

  2. The "scope of hobby or doujin activities" referred to in the preceding paragraph (hereinafter the "Non-Commercial Scope") generally means activities that fall under any of the following:

    1. Total annual sales are less than 1,000,000 yen (tax included), and sales from Fan Creations covered by these Guidelines do not account for the majority of those sales
    2. Distribution of the same Fan Creation is limited to a first print run of 300 copies (or an equivalent quantity) or fewer, with no reprints, permanent sales, or made-to-order production
    3. Compensation from advertising revenue, tips, subscriptions, or other recurring payments is less than 30,000 yen per month
    4. Small-batch production, one-off sales, event-limited distribution, or similar activities that can reasonably be recognized, by common social standards, as not constituting a commercial business
  3. If a User's activity does not fall under any of the items in the preceding paragraph, or if it is difficult to determine whether it does, please consult the Company in advance ( https://tr1ppy.com/contact ) to confirm whether individual permission is required.

  4. The Company may revise the numerical criteria in the preceding paragraph without notice, taking into account social conditions, market trends, the Company's business policies, and other factors. Revised criteria apply from the time they are posted on the Company's website.


Article 8 (Use of Generative AI)

  1. The Company makes no distinction between works created using generative AI (image generation, text generation, etc.) and works created by hand. These Guidelines also apply to Fan Creations made using generative AI.
  2. Users may input the Company's Original Works into generative AI as reference images or prompts. However, outputs that are substantially identical or extremely similar to the Original Works are deemed "Modified Works" and may violate Article 5, Item 4.
  3. When using references with ControlNet, LoRA, ChatGPT, Gemini, etc., please take care that the output does not rely too heavily on the Original Works.
  4. Uses that rely on the Original Works — such as setting Denoising Strength below 0.5 in image-to-image — may be judged to be Modified Works.

Article 9 (Disclaimer and Revisions to the Guidelines)

  1. The Company may revise these Guidelines without notice due to changes in laws, operational needs of the Service, or other reasonable grounds. Revised Guidelines apply from the time they are posted on the Company's website.
  2. Except in cases of intent or gross negligence on the part of the Company, the Company is not liable for any damages incurred by Users as a result of revisions to these Guidelines or requests by the Company to discontinue Fan Creative Activities.

Article 10 (Governing Law and Jurisdiction)

  1. These Guidelines are governed by and construed in accordance with the laws of Japan.
  2. If a dispute arises between the Company and a User regarding these Guidelines, the Tokyo District Court shall have exclusive agreed jurisdiction as the court of first instance.
